    上海集优公布，2月26日，董事会已审议通过公司与上海电气总公司拟订立股权转让协议，同意出售且上海电气总公司同意收购电气轴承100%股权，代价合计为5884.8万元人民幣，电气轴承为公司的全资附属公司。

 

 

    上海电气总公司为控股股东，通过上海电气公司和电气总公司香港分別间接持有公司已发行股本总额约47.18%和4.44%的股权。股权转让完成后，公司将不再持有电气轴承的任何股权。股权转让后，预期公司会確认亏损约364,000元人民幣，此乃参考股权转让的代价和电气轴承100%股权的账面价值计算所得，股权转让所得款项净额扣除直接相关费用后会用作集团一般营运资金和资本支出，或为集团適时之新投资提供资金。
